Terms of Service

1. Acceptance of Terms & Institutional Scope

These Terms of Service ("Terms") constitute a legally binding agreement between W3Builders Technology Solutions LLP ("Company", "we", "us", operator and developer of the "TeachMentor AI" educational platform) and the educational institution, school management society, or authorized administrator ("Institution", "Customer", "you") entering into an order form, master service agreement, or digital subscription.

By accessing, deploying, or utilizing the TeachMentorAI Cloud ERP platform (including Web Dashboards, Android APK/Mobile applications, and synchronization engines), you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. Tenant Provisioning & Role-Based Access Control (RBAC)

Upon onboarding, TeachMentorAI provisions a cryptographically isolated tenant schema corresponding to your institution. Access is partitioned across four primary user categories:

The Institution is strictly responsible for maintaining credential hygiene, removing access for departed faculty, and restricting administrative privileges to verified staff.

3. Service Availability & 99.9% Uptime SLA

TeachMentorAI commits to delivering 99.9% system availability across cloud hosting infrastructure during standard Indian school operating hours (07:00 IST to 19:00 IST, Monday through Saturday).

• Scheduled Maintenance: Conducted during non-academic hours (typically 00:00 to 04:00 IST) with a minimum of 48 hours prior notification in the administrative console.
• Offline Continuity: In the event of campus broadband outages, Android mobile clients preserve local SQLite operational continuity for attendance and marks entry, auto-reconciling immediately once internet connectivity restores.

4. Acceptable Platform Use

The Institution and its authorized users agree never to:

• Reverse engineer, decompile, disassemble, or extract source code from TeachMentorAI binaries, web assets, or mobile APKs.
• Conduct automated scraping, fuzzing, denial-of-service tests, or penetration attacks against TeachMentorAI infrastructure without prior written authorization.
• Upload unlawful, defamatory, infringing, or malicious content onto school bulletin boards or student record attachments.
• Share institutional login credentials across unauthorized third parties, consultants, or outside vendors without written authorization.

5. School Data Ownership & Intellectual Property

TeachMentorAI retains all right, title, and interest in and to the platform codebase, user interface designs, AI fine-tuning weights, brand marks, and proprietary documentation.

6. Human-in-the-Loop Artificial Intelligence Policy

TeachMentorAI includes generative intelligence modules (such as automated report card summary drafting, personalized learning suggestions, and timetable scheduling optimization).

7. Subscriptions, Invoicing & GST Compliance

Institutional licenses are billed on an annual or term-based schedule based on active student enrollment count or campus tier as delineated in the executed Service Order.

• Taxes: All platform software subscription fees are billed as quoted with zero GST (exempt / unregistered under applicable threshold). Official payment receipts and invoices are provided electronically.
• Payment Windows: Invoices are payable within 30 days of issuance via RTGS, NEFT, direct debit, or authorized banking gateways.
• Grace Period: In the event of fee dispute or delayed disbursement, TeachMentorAI offers a 15-day grace continuity window prior to restricted dashboard access.

8. Term, Suspension & Data Portability

Either party may terminate the agreement upon 60 days written notice prior to the start of the subsequent academic year.

Export Guarantee: Upon termination or non-renewal, TeachMentorAI provides administrators with a 30-day window to download complete, standardized exports of student archives, fee histories, and gradebooks in CSV, Excel, and JSON formats at no additional charge. Following 60 days post-termination, tenant databases are purged in compliance with our Retention Policy.

9. Limitation of Liability

To the maximum extent permitted under applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. TeachMentorAI's aggregate liability arising out of or related to this agreement shall not exceed the total fees actually paid by the institution in the twelve (12) months preceding the incident giving rise to liability.

10. Governing Law, Arbitration & Jurisdiction

These Terms shall be governed by, and construed in accordance with, the laws of the Republic of India, specifically the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

Any dispute, controversy, or claim arising out of or relating to this platform shall be resolved through binding arbitration in Bengaluru, Karnataka under the Arbitration and Conciliation Act, 1996. The courts of Bengaluru shall possess exclusive territorial jurisdiction.
